If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Hoppi Platform ("Hoppi", "we", "us", or "our"). We may modify these Terms at any time, and such modifications will be effective immediately upon posting.

To use our Services, you must: - Be at least 18 years of age or the age of legal majority in your jurisdiction - Have the legal capacity to enter into a binding agreement - Not be prohibited from using the Services under applicable law - Provide accurate and complete registration information If you are using the Services on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.

To access certain features of our Services, you must create an account. When creating an account, you agree to: - Provide accurate, current, and complete information - Maintain and update your information to keep it accurate - Maintain the security of your account credentials - Accept responsibility for all activities under your account - Notify us immediately of any unauthorized use We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

Hoppi provides a platform for creators to: - Create and sell digital products - Build landing pages and websites - Accept payments from customers - Manage customer relationships - Access analytics and insights We reserve the right to modify, suspend, or discontinue any part of the Services at any time without liability. We may also introduce new features or impose limits on certain features.

**Subscription Fees:** Some features require a paid subscription. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law. **Transaction Fees:** We charge a percentage of each transaction processed through our platform. Current rates are displayed on our pricing page. **Payment Processing:** All payments are processed through our third-party payment providers. You agree to their terms of service. **Taxes:** You are responsible for all applicable taxes. We may collect taxes where required by law. **Price Changes:** We may change our fees with 30 days' notice. Continued use after a price change constitutes acceptance.

As a creator using our platform, you agree to: - Comply with all applicable laws and regulations - Accurately describe your products and services - Deliver products as promised to your customers - Handle customer complaints and refund requests fairly - Not sell prohibited items (see Prohibited Content section) - Maintain appropriate records for tax purposes You are solely responsible for the content you create and sell. We are not responsible for disputes between you and your customers.

You may not use our Services to sell or promote: - Illegal goods or services - Counterfeit or stolen items - Adult content without proper age verification - Weapons, drugs, or controlled substances - Content that infringes intellectual property rights - Misleading or fraudulent offers - Hate speech or content promoting violence - Personal information of others without consent - Malware or harmful software We reserve the right to remove content and terminate accounts that violate these prohibitions.

**Your Content:** You retain ownership of content you create and upload. By using our Services, you grant us a non-exclusive, worldwide license to use, display, and distribute your content solely to provide the Services. **Our Property:** The Hoppi platform, including its design, features, and functionality, is owned by us and protected by intellectual property laws. You may not copy, modify, or create derivative works without permission. **Trademarks:** "Hoppi" and our logo are trademarks. You may not use our trademarks without written permission.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: - Our Services are provided "as is" without warranties of any kind - We are not liable for indirect, incidental, special, or consequential damages - Our total liability shall not exceed the fees you paid in the past 12 months - We are not responsible for third-party services or content Some jurisdictions do not allow limitation of certain warranties or liabilities, so some of the above may not apply to you.

You agree to indemnify and hold harmless Hoppi, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: - Your use of the Services - Your content or products - Your violation of these Terms - Your violation of any third-party rights - Disputes with your customers

**By You:** You may terminate your account at any time through your account settings or by contacting us. **By Us:** We may suspend or terminate your account for: - Violation of these Terms - Fraudulent or illegal activity - Non-payment of fees - Extended periods of inactivity - Any other reason at our discretion **Effect of Termination:** Upon termination, your right to use the Services ceases. We may retain certain information as required by law or for legitimate business purposes.

**Governing Law:** These Terms are governed by the laws of the United Arab Emirates. **Arbitration:** Any disputes shall be resolved through binding arbitration in Dubai, UAE, except where prohibited by law. **Class Action Waiver:** You waive any right to participate in class action lawsuits against us. **Time Limit:** Any claim must be filed within one year of the event giving rise to the claim.

**Entire Agreement:** These Terms constitute the entire agreement between you and Hoppi regarding the Services. **Severability:** If any provision is found unenforceable, the remaining provisions remain in effect. **Waiver:** Our failure to enforce any right does not waive that right. **Assignment:** You may not assign these Terms.
